This seminar provides a broad introduction to the legal and practical aspects of shipbuilding and offshore construction contracts.
Tailored for lawyers and contract management professionals representing buyers, builders and other stakeholders, the programme addresses the negotiation, drafting and management of contracts for a wide range of projects including cargo vessels, passenger vessels, tankers, specialist offshore units, support vessels and ship conversion projects. The seminar will highlight the different approaches that can be adopted in respect of different types of projects.
Shipbuilding contracts have historically been based on the “SAJ form”, first published in 1974 by the Shipbuilder’s Association of Japan, but there has been an increase in use of BIMCO’s 2007 NEWBUILDCON form of contract and this seminar will consider both of these standard form contracts. The new SHIP25 form will also be considered. The seminar will focus on shipbuilding contracts that are subject to English law, but it is likely to be of interest to those who are familiar with or expect to be involved with shipbuilding contracts that are governed by the laws of other jurisdictions.

What will you learn?
Day 1: Entering and managing a shipbuilding and offshore construction contract (90 minutes)
Introduction: This session will provide an overview of the core components of a shipbuilding or offshore construction contract. Participants will gain a comprehensive understanding of the issues involving the design of the vessel, the key provisions relating to the roles of the buyer, builder, and others during the construction of all manner of shipbuilding and offshore construction projects and how changes can be made to the contract and specification.

- Overview of contract formation including standard form contracts and their key provisions.
- Pre-contract considerations: vessel design, design development and risk allocation.
- Roles and responsibilities of the buyer, Class and other regulatory bodies during construction.
- Procedures for contract and specification modifications.
Day 2: The 3 D’s of Shipbuilding and Offshore Construction Contracts: Delivery, Delays and Disputes (90 minutes)
Introduction: This session will focus on the concluding stages of shipbuilding and offshore construction contracts and look at the delivery process and the post-delivery warranty of quality, what a party can do in the event of delays and the dispute resolution procedures that can be included in the contract.

- Passing of title and security.
- The mechanics of the sea trials and testing, technical acceptance and delivery process and the post-delivery warranty regime.
- Managing delays: extensions of time, force majeure and contractual remedies.
- Drafting and negotiating effective dispute resolution clauses for technical and other disputes.
